("Rika," "we," "us," or "our"), including our website, applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Description of Service

Rika is an intelligent workspace platform that provides tools for note-taking, file management, AI-powered content generation, collaboration, and related services. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

Account Registration

Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

Account Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service. By using the Service, you represent that you meet these age requirements.

  • Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks
  • Use the Service to transmit viruses, malware, or other harmful code
  • Use automated systems (bots, scrapers, etc.) to access the Service without our express written permission
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use the Service for any illegal or unauthorized purpose
  • Collect or harvest information about other users without their consent
  • Use the Service to compete with Rika or to build a similar or competitive service

We reserve the right to investigate and take appropriate legal action against anyone who violates this Acceptable Use Policy, including removing offending content, suspending or terminating accounts, and reporting to law enforcement.

Intellectual Property Rights

Your Content

You retain ownership of all content you create, upload, or share through the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display Your Content solely for the purpose of providing and improving the Service.

You represent and warrant that you have all necessary rights to grant this license and that Your Content does not infringe upon the rights of any third party.

Our Content

The Service, including its original content, features, functionality, design, and software, is owned by Rika and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

AI-Generated Content

Content generated using our AI features may be based on publicly available information and training data. You understand that AI-generated content may not be unique and that similar content may be generated for other users. You are responsible for reviewing and verifying AI-generated content before using it.

Payment Terms

Subscription Plans

The Service is offered through various subscription plans with different features and pricing. We reserve the right to change our pricing with notice to you. Price changes will apply to subsequent billing cycles.

Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • By subscribing, you authorize us to charge your payment method automatically
  • You are responsible for providing accurate billing information
  • If payment fails, we may suspend or terminate your access to paid features

Refunds

Refund policies vary by plan and are subject to our discretion. Generally, we do not provide refunds for partial subscription periods, except as required by law or as specified in your plan.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until the end of your billing period.

Data Ownership and Processing

You retain ownership of your data. We process your data to operate the Service, improve reliability and performance, and provide AI-assisted functionality, as described in our Privacy Policy. We will not use your content to train AI models for purposes unrelated to providing the Service to you without your explicit consent.

Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We are not liable for any loss or damage resulting from Service unavailability.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIKA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Rika and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Content

Termination

By You

You may terminate your account at any time by deleting your account through the Service or contacting us.

By Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • You engage in fraudulent, abusive, or illegal activity
  • We are required to do so by law
  • We discontinue the Service

Upon termination, your right to use the Service will cease immediately. We may delete your account and content, subject to our data retention policies and legal obligations.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of JAMS (Judicial Arbitration and Mediation Services), except that either party may seek injunctive relief in any court of competent jurisdiction.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Sending you an email notification (for significant changes)
  • Displaying a notice in the Service

Your continued use of the Service after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rika regarding the Service and supersede all prior agreements and understandings.
